Terms of Service

WeYug is a brand of Dezynum Software Services OPC Pvt Ltd, a private company incorporated in India, operating from Gurgaon, Haryana. References to “we”, “us”, “our” in these terms mean Dezynum Software Services OPC Pvt Ltd. References to “you” mean the natural person or business that engages us, accepts a quote, or makes use of our services.

An engagement is formed when you accept a written WeYug quote (by email, signed proposal, or kickoff payment) and the kickoff payment is received.

Until both happen, no part of these terms binds either of us — you are free to walk away and so are we.

The scope of the engagement is exactly what the accepted quote describes. Anything outside that scope is not part of the engagement and would require a separate quote.

Quotes are fixed. Once you accept a quote, the price will not change unless you ask for additional scope and we agree to it in writing.

Standard payment schedule: 40% kickoff, 40% on staging review, 20% on launch — unless your quote states otherwise.

Currency: Indian Rupees (₹), unless your quote states otherwise. GST is added per Indian tax law.

Late payments: if a milestone payment is more than 14 days late, we may pause work until it's settled.

On final payment, all source code, design files, content created for your project, and project deliverables become your property. We assign all relevant copyrights to you.

Until final payment, the work is licensed to you for the purpose of the engagement only — you may use it, but transfer of ownership happens at full payment.

We retain the right to: list you as a client (logo and brief description) on our portfolio unless you ask us not to in writing; reuse generic, non-confidential techniques and patterns we developed in serving you; show our work in industry talks or articles, anonymising sensitive details.

Before discovery call: full refund of any paid amount minus a small admin fee (5%).

After discovery, before design phase: full refund minus discovery time (typically ₹10,000).

After design delivery, before development: design phase fees (typically 30% of total) are non-refundable. You keep the design files.

After development starts: you pay for work completed at the time of cancellation, and you keep all deliverables produced. We do not hold work hostage for full payment.

For 30 days after launch, we will fix any bug introduced by us in the code we delivered, free of charge. “Bug” means: a feature not working as described in the quote.

This warranty does not cover: bugs introduced by changes you (or another developer) made; new feature requests; issues caused by third-party services; or content errors.

After 30 days, bug fixes are billable unless you have an active AMC.

We will use reasonable care and professional skill in delivering the engagement.

Our total cumulative liability under any engagement is capped at the fees you paid for that engagement in the 12 months immediately preceding the claim.

Neither party is liable for indirect, consequential, or speculative damages, including loss of profits, loss of data, or loss of business opportunity.

This clause does not limit either party's liability for fraud, gross negligence, or anything that cannot be limited under Indian law.

Both parties agree to treat business information shared during the engagement as confidential and to use it only for the purpose of delivering the engagement.

This obligation survives the engagement for 3 years.

It does not apply to: information already public; information independently developed; information required by law to disclose; or aggregated, anonymised statistics about our work generally.

We may update these terms from time to time. Changes apply to engagements formed after the new effective date. Active engagements stay governed by the version in force when they began, unless both parties agree otherwise in writing.

These terms are governed by the laws of India. Any dispute arising from or related to an engagement will be resolved by the courts of Gurgaon, Haryana — to the extent that's permitted by law.
