Terms of Service

The rules under which Dezynum Software Services (OPC) Private Limited, operating the WeYug brand, delivers websites, web applications, and ongoing services. Plain language. No fine-print surprises. Where Indian law has a defined meaning, we use it so the rule that applies is unambiguous.

Definitions

These terms use a few defined words throughout. Reading these once now saves re-reading later.

  • “We”, “us”, “our”, “WeYug” mean Dezynum Software Services (OPC) Private Limited, the company operating the WeYug brand.
  • “You”, “Client” mean the natural person or legal entity that accepts a Quote, makes a kickoff payment, or otherwise engages us.
  • “Quote” means the written proposal we issue specifying scope, deliverables, schedule, fees, and any service-specific terms.
  • “Engagement” means the project or service governed by an accepted Quote read together with these terms.
  • “Deliverables” means the source code, design files, content, documentation, and configurations produced for you under an Engagement.
  • “AMC” means Annual Maintenance Contract — the post-launch support and maintenance service described in your Quote.
  • “Site” means weyug.com and any sub-domain operated by us.
  • “Confidential Information” means non-public information one party shares with the other in connection with the Engagement.

Where a term is defined in both the Quote and these terms, the Quote prevails for that specific Engagement.

Acceptance of These Terms

You accept these terms in any of these ways:

  • By accepting a Quote in writing (email confirmation, signed PDF, or DocuSign-style click acceptance).
  • By making the kickoff payment referenced in a Quote.
  • By continuing to use a service (such as AMC) past its renewal date when we have given written notice of the renewed terms.

Each of these is a valid electronic record under the Information Technology Act, 2000 and creates a binding contract.

If you are accepting on behalf of a company, you confirm you have authority to do so and that the company is bound. If you do not have that authority, do not accept.

Engagement & Scope

Forming an Engagement

An Engagement is formed when (a) you accept a written Quote, and (b) the kickoff payment specified in the Quote is received in our bank account. Until both happen, neither side is bound — you are free to walk away and so are we.

Scope

The scope is exactly what the accepted Quote describes. Anything outside that scope is not part of the Engagement and requires a written change request and a separate Quote.

Quote Validity

Quotes are valid for 30 days from the date of issue, unless the Quote itself states a different period. After expiry, we are not obliged to honour the quoted price.

Change Requests

During an Engagement, either party may propose a change in scope, timeline, or deliverables in writing. A change becomes part of the Engagement only when both parties confirm it in writing and we issue a revised Quote or change order — never on a casual phone call or WhatsApp message.

Client Responsibilities

  • Provide content, brand assets, access credentials, decisions, and feedback within the timelines agreed in the Quote.
  • Nominate a single point of contact authorised to approve scope, sign off milestones, and resolve content questions.
  • Hold any necessary rights and licences for content you provide us (text, images, fonts, plugins).

If your delays push the project schedule, we may revise milestone dates. If a delay exceeds 30 days we may issue a project-park notice and resume after a fresh schedule is agreed.

Service-Specific Terms

Business Websites & E-Commerce

Includes design, development, content integration, deployment to a VPS provisioned in your name, basic SEO setup, and post-launch handover. The free Discovery call and Free Website Mockup precede any paid scope and create no engagement on their own (see “Free Website Mockup” below).

Custom Web Applications

Includes requirements clarification, architecture, backend, frontend, integration with the third-party systems named in the Quote, and deployment. We deliver source code, a deployment runbook, and at least one knowledge-transfer session. Bespoke applications carry a 60-day defects warranty as defined in “Warranty & Disclaimers”.

Brand & Identity

Includes logo, palette, typography, brand guidelines, and the asset formats listed in the Quote. On final payment, copyright in the deliverables is assigned to you; we retain a non-exclusive right to display the work in our portfolio (see “Portfolio Rights”).

SEO & Visibility

SEO is a retainer service. We commit to the activities described in the Quote (technical fixes, content, on-page optimisation, off-page outreach) and to monthly reporting. We do not guarantee specific keyword rankings, traffic levels, or revenue outcomes — anyone who promises a guaranteed #1 ranking on Google is mis-selling. Search engine algorithms are outside our control.

Free Website Mockup

We design one homepage mockup for free as a proof-of-fit. This is a discretionary offer, not a contract. It creates no obligation on either side to enter a paid Engagement, and we may decline to provide a design where the request is incompatible with our capacity or focus. The design remains our property until and unless a paid Engagement is signed.

Bring Your Own Template (BYOT)

Where the Engagement uses a third-party template you have licensed, you confirm you hold a valid licence for the intended use. We do not warrant the template's code quality, security, or future support, and any defects arising from the template itself are outside our defects warranty.

Recommended Templates

Where you adopt a template we recommend, the licence is purchased in your name from the template vendor. We may receive an affiliate commission for the recommendation, disclosed on request.

Annual Maintenance Contract (AMC) & SLA

AMC is the post-launch support service offered with most Engagements. The exact inclusions are listed in your AMC Quote. The baseline service levels below apply unless your Quote states something stricter (in which case the Quote prevails).

Coverage Hours

Standard coverage is Monday to Friday, 10:00 to 18:30 IST, excluding Indian gazetted holidays. 24×7 coverage is available as a paid upgrade in the Quote.

Severity Levels & First-Response Targets

  • S1 — Critical: the site or application is fully down, or a security incident is suspected. First response within 2 hours of ticket creation during coverage hours; out-of-hours best-effort via the WhatsApp number on file.
  • S2 — Major: a key feature is broken for all users (checkout, login, contact form, etc.), with no workaround. First response within 4 working hours.
  • S3 — Minor: a non-critical feature is broken or a cosmetic defect is visible. First response within 1 working day.
  • S4 — Content / change request: a routine update (copy edit, image swap, small content addition). First response within 2 working days.

Resolution Targets

Resolution depends on root cause and is set on a best-effort basis. We commit to keeping you informed of progress at least every business day until the ticket is closed.

Uptime

For sites hosted on a single VPS that we operate on your behalf, our monthly uptime target is 99.5%, measured as availability of the public landing page over a calendar month, excluding scheduled maintenance windows announced at least 24 hours in advance and excluding outages caused by factors outside our control (upstream provider, DNS provider, force majeure events).

What AMC Does Not Cover

  • New feature development beyond the change-request hours included in your Quote.
  • Recovery from changes made by you or third parties outside our control.
  • Third-party hosting, domain, or licence costs (billed at actuals).
  • Migrations, redesigns, or major version upgrades — these are scoped separately.

We may suspend AMC services after written notice if AMC fees are 30 days past due. Reinstatement after suspension may require a reinstatement fee.

Pricing, Payments & Taxes

Fixed Quotes

Once you accept a Quote, the price will not change unless you ask for additional scope and we agree to it in writing. You will never receive a surprise invoice.

Standard Payment Schedule

Unless your Quote states otherwise: 40% on kickoff, 40% on staging review, 20% on launch. AMC is invoiced annually in advance unless monthly billing is agreed.

Currency

Indian Rupees (INR / ₹) for Indian clients. International clients are billed in USD or EUR per the Quote. FX conversion is at the rate prevailing on the invoice date.

GST

GST is charged on every invoice as required by Indian law (currently 18% for SAC 998314 - IT design and development services). The applicable GSTIN, place of supply, and HSN/SAC are shown on each invoice for input-tax-credit eligibility.

TDS

Where you are required by the Income Tax Act, 1961 to deduct tax at source on professional fees (typically Section 194J at 10%), you may do so. You must furnish a quarterly TDS certificate (Form 16A) for our records. If TDS is deducted and we cannot reconcile it to a 26AS / AIS entry against our PAN, the unverified amount remains due as a balance against your invoices.

Late Payments

If a milestone payment is more than 14 days past due, we may pause work without prior notice and recommence after settlement. Interest may be charged at 1.5% per month (or part thereof) on overdue amounts, accruing from the original due date, in line with Section 16 of the MSMED Act, 2006 (we are a registered Micro/Small enterprise).

Expenses

Out-of-pocket costs that are not part of the Quote (third-party licences, paid plugins, stock imagery, dedicated hosting, premium fonts) are billed at actuals and approved in writing before they are incurred.

Intellectual Property & Ownership

Transfer of Deliverables

On receipt of all amounts due under an Engagement, we assign to you, with effect from that date, all copyrights and rights in the bespoke Deliverables created for you. Until final payment is received, the Deliverables are licensed to you on a limited, non-exclusive, non-transferable basis for review and feedback only.

Pre-Existing IP & Background Tools

We use a stack of pre-existing, internally developed tools, libraries, code patterns, and templates to deliver projects efficiently. These are not transferred to you — they remain our property — but you receive a perpetual, worldwide, royalty-free, non-exclusive licence to use them to the extent embedded in your Deliverable. You may modify, copy, and distribute them only as part of the Deliverable.

Third-Party IP

Open-source components, third-party libraries, paid plugins, fonts, and stock assets used in the Deliverables are governed by their own licences. We list those in the project handover and you assume the licensee's obligations from the date of handover.

Client-Provided Materials

You retain ownership of all content, branding, and materials you provide. You grant us a licence to use them solely to deliver the Engagement.

Portfolio & Publicity Rights

Unless you ask us in writing not to: we may (a) list your name and logo on our portfolio and credentials deck; (b) describe the work at a high level in case studies and articles; (c) take screenshots and short video walk-throughs of public-facing pages for marketing. We will not disclose confidential numbers, internal processes, or any information you flag as off-record.

Moral Rights

You agree we may identify ourselves as the developers of bespoke Deliverables on industry forums, professional profiles, and credentials, subject to the confidentiality limits above.

Hosting & Infrastructure

Your VPS, Your Account

For Engagements that include hosting, the VPS is provisioned in your name on the hosting provider you choose (DigitalOcean, Hetzner, Linode, AWS, etc.) or one we recommend. Billing for hosting is between you and the hosting provider directly. On project handover we transfer admin access to you.

Our Role on AMC

Under AMC we operate the server on your behalf: OS patches, application updates, certificate renewals, security monitoring, performance tuning. We are not your hosting provider, and we are not liable for outages, data loss, or chargebacks caused by the hosting provider itself.

Backups

Under AMC we take daily database backups retained for 30 days, on encrypted off-site storage. Without AMC, backups are your responsibility.

Domain Names

We do not register domains in our name. If you ask us to handle domain registration, we register in your name as the registrant. Renewal is your responsibility unless explicitly included in AMC.

Third-Party Services

Email infrastructure (Google Workspace, Zoho Mail), CDN (Cloudflare), analytics (GA4), payment gateways (Razorpay, Stripe, etc.) operate under their own terms. We do not control their uptime, pricing changes, or feature deprecations.

Acceptable Use

The sites and applications we host or operate for you must comply with applicable Indian law and with the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. You agree not to publish, host, or transmit any content that:

  • Is unlawful, defamatory, obscene, or invasive of another person's privacy.
  • Infringes a third party's intellectual property rights.
  • Contains malware, spyware, mining scripts, phishing kits, or any malicious code.
  • Promotes hatred, violence, or discrimination on the basis of religion, caste, race, gender, or sexual orientation.
  • Constitutes unsolicited bulk communication (spam) in breach of TRAI's commercial communications regulations.
  • Violates export-control or sanctions regulations of India or any jurisdiction we transmit data to.

If we receive a credible legal complaint about content on a site we host or operate for you, we will (a) notify you and (b) take down the specific complained-of material per the timelines in the IT Rules, while you decide on your formal response. Repeated material breaches of this clause are grounds for termination for cause.

Confidentiality

Each party agrees to treat Confidential Information received from the other as confidential, to use it only to perform the Engagement, and to apply the same standard of care it applies to its own confidential information (and no less than reasonable care).

This obligation survives termination of the Engagement for 3 years and does not apply where the information:

  • Was already public at the time of disclosure, or becomes public without breach of this clause.
  • Was independently developed by the receiving party without reference to the disclosing party's information.
  • Is required to be disclosed by law, court order, or a regulator with jurisdiction (with prior notice to the disclosing party where lawful).

Aggregated, anonymised statistics about our work generally — number of projects, types of clients, industries served — are not Confidential Information and may be used by us for marketing.

Warranty & Disclaimers

Service Warranty

We will use reasonable care and professional skill in delivering each Engagement and to industry-accepted practices for the technologies used.

Defects Warranty

For 60 days after launch (or such other period stated in the Quote), we will fix at no charge any defect that prevents the Deliverable from substantially performing as described in the Quote. This warranty does not cover: feature requests, changes you ask for, defects caused by content or configuration changes you make, third-party plugin defects, or browser/OS version updates that change behaviour after launch.

Disclaimers

Except as expressly stated above, the Deliverables and services are provided “as-is”. To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement of third-party rights (other than as we expressly confirm in writing), and uninterrupted or error-free operation.

Limitation of Liability

To the maximum extent permitted by applicable law, and except for liabilities that cannot be limited under Indian law (fraud, gross negligence, wilful misconduct, death or personal injury caused by negligence, breach of confidentiality by deliberate disclosure):

  • Cap: our total cumulative liability under each Engagement, in aggregate across all claims, is capped at the fees actually paid by you to us under that Engagement during the 12 months immediately preceding the event giving rise to the claim.
  • Indirect losses: neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, anticipated savings, goodwill, business opportunity, or data, even if advised of the possibility.
  • One claim, one cap: the existence of more than one claim does not enlarge the cap.

This allocation of risk is reflected in the pricing and is a fundamental basis of the Engagement.

Indemnification

We Indemnify You For

Third-party claims alleging that the bespoke Deliverables we created for you infringe a third party's copyright, registered trademark, or registered patent in India — provided you notify us promptly, do not admit liability, and let us control the defence and any settlement that does not require an admission of fault on your part.

Our Indemnity Does Not Cover

Claims arising from: content you provide; third-party templates, plugins, or libraries; modifications to the Deliverable made by anyone other than us after handover; combinations of the Deliverable with materials not provided by us; or your use of the Deliverable outside the scope agreed in the Quote.

You Indemnify Us For

Third-party claims arising from (a) content, branding, or materials you supplied for use in the Deliverable; (b) your operation of the Deliverable in breach of the “Acceptable Use” clause; or (c) your breach of the licence terms of any third-party tool, plugin, or content used in the Deliverable.

Force Majeure

Neither party is liable for delay or failure to perform any obligation (other than payment of money already due) caused by events outside its reasonable control, including:

  • Acts of God, natural disasters, fire, flood, earthquake.
  • War, terrorism, civil disturbance, riots.
  • Pandemics, epidemics, government-mandated lockdowns or quarantines.
  • Nationwide or regional internet outages, cyberattacks on upstream infrastructure, hosting-provider downtime, DNS-provider outages.
  • Acts or orders of any government, regulator, or court.
  • Strikes or labour disputes not involving the affected party's own workforce.

The affected party will notify the other promptly, use reasonable efforts to mitigate, and resume performance as soon as practicable. If the event persists for more than 60 days, either party may terminate the affected Engagement on written notice, with fees due for work completed up to the notice date.

Termination & Suspension

For Cause

Either party may terminate an Engagement, with written notice, if the other:

  • Materially breaches these terms or the Quote and fails to cure within 15 days of written notice describing the breach.
  • Becomes insolvent, is wound up, or initiates a corporate insolvency resolution process under the IBC, 2016.

For Convenience

You may terminate any Engagement for convenience with 30 days' written notice. Fees due for work performed up to the termination date, plus any non-cancellable third-party costs already incurred, remain payable. AMC may be terminated for convenience at the end of the then-current annual term with 60 days' written notice.

Suspension

We may suspend services on written notice if (a) fees are 30 days past due; (b) your use violates the Acceptable Use clause; or (c) we are required to suspend by a competent legal authority. Suspension does not affect your payment obligations.

Effects of Termination

On termination: outstanding invoices become immediately payable; we hand over the Deliverables completed up to that point (with IP transfer triggered on payment as defined in “IP & Ownership”); each party returns or deletes the other's Confidential Information except as required to retain by law; clauses that by their nature should survive (Confidentiality, IP, Liability, Indemnity, Notices, Dispute Resolution) survive termination.

Cancellation & Refunds

Before Discovery Call

Full refund of any paid amount, minus a 5% administrative fee to cover transaction costs.

After Discovery, Before Design Phase

Full refund minus discovery time (typically ₹10,000) and any non-cancellable third-party costs.

After Design Phase Begins

Refunds are pro-rated against work actually completed up to the cancellation date. We will share an itemised statement showing what was done and what remains.

AMC Cancellations

AMC is invoiced annually. Mid-term cancellation receives a pro-rated refund for whole unused months, less a 10% early-termination administrative fee, and provided no S1/S2 incident has been opened in the 30 days preceding the cancellation request.

Refund Processing

Approved refunds are processed within 10 working days of approval, to the original payment instrument where possible, or to a bank account you nominate. We will issue a credit note for accounting purposes.

Notices & Communication

Operational communication during an Engagement (status updates, schedule changes, feedback) may happen by email, WhatsApp, or the project-management tool we have agreed to use. Formal notices under these terms — termination, breach, change of legal address — must be sent in writing to:

Email notices are deemed received on the next working day after sending, where there is no bounce-back. Registered post is deemed received 7 days after dispatch.

General Provisions

Entire Agreement

These terms together with the accepted Quote (and any documents the Quote incorporates by reference) form the entire agreement between us regarding the Engagement and supersede any earlier proposal, discussion, or representation that conflicts with them.

Severability

If any provision is held invalid or unenforceable by a competent court, the remaining provisions stay in effect and the invalid provision is modified to the minimum extent needed to make it enforceable.

Waiver

A failure or delay in enforcing any provision is not a waiver of the right to enforce it later. Any waiver must be in writing and signed by the waiving party.

Assignment

Neither party may assign or transfer its rights or obligations under these terms without the other's prior written consent, except that either party may assign to a successor in connection with a merger, acquisition, or sale of substantially all its assets.

No Partnership

Nothing in these terms creates a partnership, joint venture, agency, or employment relationship between the parties. Neither party may bind the other to a contract with a third party.

Subcontracting

We may use subcontractors (designers, specialist developers, translators) to deliver an Engagement, while remaining responsible to you for their work. Subcontractors are bound to the same confidentiality obligations as we are.

Updates to These Terms

We may update these terms from time to time. Changes apply to Engagements formed after the new effective date. Active Engagements stay governed by the version in force when they began, unless both parties agree otherwise in writing.

Governing Law & Dispute Resolution

These terms are governed by the laws of the Republic of India, without reference to its conflict-of-law principles. Disputes follow this hierarchy:

1. Good-Faith Negotiation

Each party agrees to first attempt to resolve any dispute by direct negotiation. Either party may escalate by sending a written “Dispute Notice” to compliance@dezynum.com describing the dispute and the relief sought. The parties will negotiate in good faith for at least 30 days from the date of the Dispute Notice.

2. Arbitration

If the dispute remains unresolved after the negotiation period, it will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996.

  • Tribunal: a sole arbitrator appointed by mutual agreement, failing which by the procedure in the Act.
  • Seat & venue: Gurgaon, Haryana, India.
  • Language: English.
  • Confidentiality: proceedings and the award are confidential.
  • Costs: the tribunal will allocate costs between the parties as part of the award.

3. Courts

The courts at Gurgaon, Haryana, India have exclusive jurisdiction in respect of any matter that is not arbitrable, any application for interim relief, and any challenge to or enforcement of an award.

Equitable Relief

Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a court of competent jurisdiction to protect intellectual property, confidential information, or to stop ongoing infringement, pending the outcome of arbitration.
